Terms of Use

These Terms of Use (“Terms”) form a binding agreement between you and Omugen Engineering LLC (“we,” “us,” “our”) for use of the BillHour app, website (billhour.ai), and related services (collectively, the “Service”).

By creating an account or using BillHour, you agree to these Terms. If you don't agree, don't use the Service.

1. Who can use BillHour

You must be at least 18 years old and able to enter a binding contract. If you're using BillHour on behalf of a company, you confirm you have authority to bind that company to these Terms.

BillHour is designed for businesses. You may not use the Service for personal, non-commercial purposes that violate these Terms.

2. Accounts and roles

There are two roles in BillHour:

  • Firm owner — creates an organization, invites employees, sets rates, manages projects, and generates invoices.
  • Employee — joins a firm by code and logs time entries against projects.

You're responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Tell us immediately at support@billhour.ai if you suspect unauthorized access.

3. Subscription and billing

Plans and pricing

BillHour is sold by subscription. Current plans, prices, billing periods, included features, and any free-trial duration are displayed in the app at the time of purchase. Apple's In-App Purchase flow and the BillHour paywall are the authoritative sources for what is included in your subscription and what you will be charged. Plans and features may change from time to time; changes apply only to new purchases or renewals after notice, and your existing subscription is unaffected until renewal.

Billing through Apple

All subscriptions are processed by Apple via In-App Purchase. Payment is charged to your Apple ID at confirmation of purchase. Your subscription automatically renews at the then-current price unless you cancel at least 24 hours before the end of the current period. Manage and cancel subscriptions in iOS Settings → Apple Account → Subscriptions.

We do not process or store credit card information.

Refunds

Apple controls the refund process. Request refunds at reportaproblem.apple.com. We can advocate on your behalf but cannot directly issue refunds for App Store purchases.

Free trial

If a free trial is offered for the plan you selected, your selected plan automatically begins at the end of the trial and is billed by Apple at the then-current price, unless you cancel before the trial ends.

4. AI invoice formatting

BillHour offers an optional AI feature that formats time-entry descriptions into client-ready invoice line items. This feature uses Anthropic Claude (operated by Anthropic, PBC).

  • The AI feature is off by default and requires your explicit consent the first time you use it.
  • AI output is generated from your time-entry notes and may occasionally contain errors, omissions, or hallucinated content.
  • You are responsible for reviewing every AI-generated invoice line before sending it to a client. We provide a review screen specifically for this purpose.
  • We are not liable for any errors in invoices you send that originated from AI output. The final invoice content is your responsibility.

You can revoke AI consent at any time in Workspace → Legal → AI Invoice Formatting.

5. Your content

You retain ownership of all content you put into BillHour: time entries, projects, client information, invoices, custom rates, your firm logo, and any other data you input (“Your Content”).

You grant us a limited license to host, store, process, and display Your Content solely to provide the Service to you and your firm. We do not claim ownership of Your Content and do not use it for any other purpose (such as AI model training or marketing) without your explicit consent.

When you delete Your Content or your account, we delete it from our active systems within 30 days, except for firm business records described in Privacy Policy Section 9 — specifically, time entries an employee submitted to a firm remain in that firm's records for the firm's tax, audit, and billing compliance obligations. See the Privacy Policy Section 7 for full retention periods (including backups and crash reports).

6. Acceptable use

You agree NOT to:

  • Use BillHour for any unlawful purpose, including fraud, tax evasion, money laundering, or harassment
  • Bill clients for time you did not actually work
  • Submit time entries on behalf of someone else without their authorization
  • Reverse engineer, decompile, or attempt to extract source code from the Service
  • Use the Service to send spam, malware, or any unsolicited communications
  • Attempt to bypass authentication, rate limits, paywalls, or any security measure
  • Use the Service to compete with us (build a competing product using our infrastructure)
  • Share your account credentials with anyone outside your firm
  • Resell, sublicense, or commercially exploit access to the Service outside its intended use
  • Use the AI invoice formatter to generate content that is misleading, false, or designed to deceive clients

We may suspend or terminate your account for any violation, with or without notice, and with no obligation to refund unused subscription time.

7. Our intellectual property

BillHour, the BillHour logo, billhour.ai, and all underlying software, design, and content are owned by Omugen Engineering LLC. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms.

Nothing in these Terms transfers any intellectual property rights from us to you.

8. Third-party services

BillHour integrates with third-party services including Apple, Supabase, Anthropic, RevenueCat, Expo, SendGrid, Sentry, and PostHog. Your use of these services is also governed by their respective terms and privacy policies. We are not responsible for third-party services or their availability. The full list of sub-processors and the data each receives is in the Privacy Policy Section 5.

9. Service availability and changes

We aim to provide BillHour 24/7 but do not guarantee uninterrupted access. We may modify, suspend, or discontinue any part of the Service at any time. We will provide reasonable notice for material changes that affect paying subscribers.

For scheduled maintenance, we'll notify firm owners by email or in-app when reasonably possible.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED, OR THAT AI-GENERATED CONTENT WILL BE ACCURATE.

YOU ARE RESPONSIBLE FOR THE ACCURACY OF YOUR TIME ENTRIES, RATES, AND INVOICES, AND FOR COMPLIANCE WITH ALL APPLICABLE TAX AND BUSINESS REGULATIONS.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OMUGEN ENGINEERING LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $100.

Some jurisdictions do not allow these limitations; in those jurisdictions, our liability is limited to the maximum extent permitted by law.

12. Indemnification

You agree to indemnify and hold Omugen Engineering LLC harmless from any claim, loss, liability, damage, or cost (including reasonable attorneys' fees) arising out of: (a) your use of the Service, (b) your violation of these Terms, (c) your violation of any law or third-party right, or (d) the content of any invoice you send through the Service.

13. Termination

You may stop using BillHour at any time by deleting your account in Workspace → Delete Account.

We may suspend or terminate your access for violation of these Terms, with or without notice. Upon termination:

  • Your access ends immediately
  • Your data may be deleted per our retention policy (see Privacy Policy Section 9)
  • Sections 5, 7, 10, 11, 12, 14, and 15 survive termination

14. Governing law and disputes

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict of law principles.

Any dispute will be resolved exclusively in the state or federal courts located in Travis County, Texas, and you consent to personal jurisdiction there.

You waive any right to participate in a class action or class arbitration against us. Disputes must be resolved on an individual basis.

15. Changes to these Terms

We may update these Terms from time to time. Material changes will be announced in the app and via email to firm owners at least 14 days before they take effect. Continued use of the Service after a material change constitutes acceptance.

16. Miscellaneous

  • Entire agreement. These Terms plus the Privacy Policy constitute the entire agreement between you and us regarding the Service.
  • Severability. If any provision is found unenforceable, the rest remain in effect.
  • No waiver. Our failure to enforce any provision is not a waiver of that provision.
  • Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
  • Force majeure. We are not liable for delays caused by events outside our reasonable control.
